These Terms govern access to and use of the TheManager platform. By creating an account, activating a module, or otherwise using the service, you agree to be bound by these Terms.

The contracting-party details in Section 1 are placeholders — no registered company name, SSM registration number, or business address currently exists in TheManager's records for this purpose. This page should not be relied upon until those placeholders are replaced with the real registered entity, and a Malaysian-qualified lawyer has reviewed the full document, particularly Sections 11–13 and Section 15.
Who these Terms bind.
These Terms are entered into between you (either an individual or the organization you represent, “Customer”, “you”) and [COMPANY LEGAL NAME, e.g., “__________ Sdn. Bhd.”] (Company No. [SSM REGISTRATION NUMBER]), a company incorporated in Malaysia with its registered address at [REGISTERED BUSINESS ADDRESS] (“TheManager”, “we”, “us”).
By clicking “I agree”, creating an account, or otherwise accessing or using the platform, you accept these Terms on behalf of yourself and, if applicable, the organization you represent, and confirm you have authority to bind that organization. If you do not agree, do not use the service.
An electronically accepted agreement of this kind is enforceable in Malaysia under Section 7 of the Electronic Commerce Act 2006, read together with the Contracts Act 1950. [review: confirm whether any stamp duty obligation under the Stamp Act 1949 applies — fact-specific, do not assume either way]
What TheManager provides.
TheManager is a modular enterprise operating system. Depending on the modules your organization activates, the service may include Human Resources, Finance, Procurement, Cooperative Management, Cooperative Financing, Gold & Silver Savings, Ar-Rahnu, Asset Management, Budgeting, Energy Management, E-Commerce, Travel & Tourism, Kitchen Management, the Payslip Verifier Portal, and Managers AI (MAi), each governed by these Terms and any module-specific terms we provide.
We may add, change, or discontinue features of the service from time to time. We will provide reasonable notice of material changes that reduce functionality you are actively subscribed to.
Registration & responsibility.
You must provide accurate registration information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials, including any passkey/biometric authentication registered to your account, and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
Organizations using the platform may designate administrators with elevated access (company admins, organization-wide super admins). The organization is responsible for its own internal access management and for the actions of users it grants access to.
Subscriptions & payment.
Access to modules is provided under a subscription package selected at signup or configured for your organization, which determines your user limits, company limits, and included modules. Fees are billed on a recurring basis as set out in your package, plus applicable usage-based add-ons (including additional storage, billed per gigabyte, and additional modules).
We support payment via Stripe, Billplz, ToyyibPay, and Touch 'n Go, or such other method as we make available. Invoices are issued in accordance with Malaysian e-Invoice (MyInvois) requirements where applicable.
Fees are non-refundable except as required by law or as we expressly state in writing. If a payment is not received by its due date, we may apply late fees where disclosed in your package terms, and may suspend your account per Section 9. Ownership & our use of it.
As between you and TheManager, you and your organization retain all ownership rights in the data and content you or your users submit, upload, or generate through the service (“Customer Data”). You grant us a limited right to host, store, process, transmit, and display Customer Data solely as necessary to provide the service, in accordance with our Privacy Policy.
Where a module involves us processing your data through third-party services (for example, AI-assisted document extraction), we do so only to deliver the functionality you have activated, not to train models for other customers, except as separately disclosed. What we own.
The platform, including its software, design, module architecture, Managers AI capabilities, and all associated intellectual property, is owned by TheManager or our licensors. These Terms grant you a limited, non-exclusive, non-transferable right to access and use the service for your internal business purposes during your subscription term. You may not copy, modify, reverse-engineer, resell, or create derivative works of the platform except as expressly permitted by us or by law.
Acceptable use.
You agree not to use the service to:
- Violate any applicable law, including Malaysian data protection, financial services, and Shariah-compliance regulations relevant to the modules you use.
- Upload data you do not have the right or consent to process, including personal data of individuals who have not been properly informed or whose consent has not been obtained where required.
- Attempt to gain unauthorized access to any part of the service, other tenants' data, or our infrastructure.
- Interfere with or disrupt the integrity or performance of the service, including circumventing rate limits or security controls.
- Use the service to build a competing product.
We reserve the right to investigate suspected violations and take appropriate action, including suspension under Section 9.
Availability & support.
We aim to provide reliable access to the service but do not currently commit to a specific uptime percentage or formal Service Level Agreement. [review: no SLA or uptime commitment exists in current documentation — decide whether to explicitly disclaim uptime guarantees, as drafted, or commit to a specific SLA backed by operational readiness]
Support is provided through the channels we make available (in-app, email, or such other channel as we designate) on a reasonable-efforts basis.
Suspension & termination.
We may suspend or restrict your access to the service, with notice where reasonably practicable, if: (a) payment is overdue beyond the grace period configured for your account; (b) we reasonably believe you have violated Section 7; or (c) required by law or a competent authority. Suspended accounts are shown the reason for suspension and the steps needed to restore access.
Either party may terminate a subscription in accordance with the notice period set out in your package terms. We may terminate immediately for a material, uncured breach of these Terms.
Data on termination.
On termination, your access to the service will end. We will retain Customer Data for a reasonable period following termination to allow you to request an export, subject to our data retention obligations described in our Privacy Policy, after which Customer Data will be securely deleted, except where we are required by law to retain it longer (for example, statutory HR/payroll retention periods).

Disclaimers & warranties.

Except as expressly stated in these Terms, the service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by applicable Malaysian law.
Limitation of liability.
[review: liability caps, exclusions of consequential/indirect loss, and any carve-outs (e.g., data breach, IP infringement, gross negligence) must be set by counsel and commercial negotiation — not to be published from a template, particularly given the platform processes financial and health data where breach consequences could be significant]
Indemnification.
[review: mutual or one-directional indemnification terms, and their scope (IP infringement, data breach caused by each party's own failures, unlawful use by Customer's own users) require counsel input specific to TheManager's actual risk allocation preferences]
Confidentiality.
Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own confidential information of similar importance, and not to disclose it except as necessary to perform its obligations under these Terms, as required by law, or as otherwise agreed in writing.
Governing law.
These Terms are governed by the laws of Malaysia, without regard to conflict-of-law principles. [review: confirm choice of forum (courts vs. arbitration) and venue with counsel — not yet decided]
Changes to these Terms.
We may update these Terms from time to time. We will post the updated Terms here with a revised “Last reviewed” date, and will provide reasonable advance notice of material changes to active subscribers. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
General provisions.
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. These Terms, together with our Privacy Policy and any module-specific or subscription-specific terms, constitute the entire agreement between you and TheManager regarding the service. You may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
